Affiliate Program Terms & Conditions

To be an authorized affiliate of The Lock Block Padlock Protector Affiliate Program (Affiliate Program), you agree to abide by the terms and conditions contained in this agreement.

Please read this agreement carefully before registering and using the the Affiliate Program as an affiliate. By signing up for the Affiliate Program, you indicate your acceptance of this agreement and its terms and conditions.

Please note: At this time, due to currency issues, our affiliate program is only available to partners with a Paypal account to receive payments. If you are located in Australia and want to make other arrangements, please contact us at affiliates@padlockprotector.com.

All amounts shown are in US dollars.

Services Performed by Affiliate

Affiliate shall promote the Lock Block® padlock protector, which is supplied by Holyrood Exports Pty Limited (Holyrood) in a variety of ways using links provided by Holyrood. All links to the product promoted by the affiliate shall originate from a web site under the affiliate's control. Holyrood holds all intellectual property, patents and trademarks to the Lock Block®.

Affiliate's Payment

Affiliate shall be compensated as follows:

$5.00 for every sale of the Lock Block® padlock protector that the affiliate directly refers using the links provided. This excludes costs for returns and bad debt. Any customer returned products will be deducted from the next payment.

20% of the revenue generated from every sale that the affiliate's direct sub affiliate refers using the links provided to the sub affiliate.

Sub affiliates are affiliates that sign up as a direct result of being referred, via the provided links, to the Affiliate Program. This affiliate program only has one level of sub affiliates.

Affiliate will be paid monthly if the balance owed exceeds $20.00.

All payments will be made using PayPal.

Expenses

Affiliate shall be responsible for all expenses incurred while performing services under this Agreement.

Spam

Using SPAM as a means of generating referrals is strictly forbidden and will cause affiliate's account to be immediately terminated. Any revenue affiliate may have accumulated will be voided and any cost Holyrood incurs due to affiliate's spam will be billed to affiliate. Balances left unpaid will accrue interest at the rate of 3% per month.

By signing up for the affiliate program, you agree that Holyrood has the sole authority to determine what is and is not SPAM for the purposes of this agreement.

Affiliate an Independent Contractor

None of Affiliate’s staff is, or shall be deemed, employees of Holyrood. Affiliate agrees and represents, and Holyrood agrees, as follows:

(a) Affiliate has the right to perform services for others during the term of this Agreement subject to non- competition provisions set out in this Agreement, if any.

(b) Affiliate has the sole right to control and direct the means, manner and method by which the services required by this Agreement will be performed.

(c) Affiliate has the right to perform the services required by this Agreement at any place or location and at such times as Affiliate may determine.

(d) Affiliate will furnish all equipment and materials used to provide the services required by this Agreement.

(e) The services required by this Agreement shall be performed by Affiliate, or Affiliate's staff, and Holyrood shall not be required to hire, supervise or pay any assistants to help Affiliate.

(f) Affiliate is responsible for paying all ordinary and necessary expenses of its staff.

(g) Neither Affiliate nor Affiliate's staff shall receive any training from Holyrood, in the professional skills necessary to perform the services required by this Agreement.

(h) Neither Affiliate nor Affiliate's staff shall be required to devote full-time to the performance of the services required by this Agreement.

(i) Holyrood shall not provide insurance coverage of any kind for Affiliate or Affiliate's staff.

(j) Holyrood shall not withhold from Affiliate's compensation any amount that would normally be withheld from an employee's pay.

Taxes

If Affiliate is required to pay any federal, state or local sales, use, property or value added taxes based on the services provided or the fees collected, Affiliate is responsible for paying those taxes out of the fees collected.

Agreement Changes

Any changes to this agreement will be posted and the affiliate will be notified of the changes via the e-mail address registered in the affiliate tracking software at the time of the change.

Legal Fees

Legal Fees: If any litigation or arbitration is necessary to enforce this Agreement, the prevailing party shall be entitled to reasonable legal fees, costs and expenses.

General Provisions

(a) Sole agreement: This is the entire Agreement between Affiliate and Holyrood regarding the Affiliate Program.

(b) Severability: If any part of this Agreement is held unenforceable, the rest of the Agreement will continue in full force and effect.

(c) Applicable law: This Agreement will be governed by the laws of the State of Victoria, Australia.

(d) Notices: All notices and other communications given in connection with this Agreement shall be given via e-mail and will be deemed delivered when the e-mail has been sent to the e-mail on record in the affiliate tracking software.

(e) No partnership: This Agreement does not create a partnership relationship. Affiliate does not have authority to enter into contracts on Holyrood's behalf.

(f) Assignment: This Agreement is not assignable.

Communications

It is understood by applicant that Holyrood may from time to time announce other opportunities via email. It is also understood that any accusation of spam on your part as a result of these communications will result in the immediate termination of your account.
